Key Responsibilities:
  • Act as a relationship manager to some of our key clients, including investment banks, private equity firms and fund managers.
  • Work with the Head of Governance and Transaction Services on corporate governance / company secretarial matters and to assist in the managing, mitigating and monitoring of corporate governance risk and work with the Governance and Transaction Services team towards process improvement/development and efficiencies.
  • Organise, convene (including the preparation of board packs) and attend client board and committee meetings. Draft minutes and action point lists from board and committee meetings and circulate to clients and boards of directors in a timely manner.
  • Overview of the company secretarial obligations in terms of the maintenance of statutory filing, CRO filings, incorporating new companies etc., ensure all Companies Act 2014 filings and registrations are completed in a timely and accurate manner and perform other company secretarial functions from time to time as may be required.
  • Provide training and development to team members in the areas of company secretarial and good corporate governance.
  • Ensure all on-going statutory, legal and transactional obligations of a large portfolio of SPVs in structured finance and securitisation deals are met and ensure good corporate governance throughout.
  • Keep abreast of market trends and legislative changes impacting on the team and its clients.
  • Gain familiarity with a diverse range of capital markets structures and products.
  
Key Competencies:
  • Minimum 4 years’ experience working in legal, company secretary or finance. Experience with a corporate services provider an advantage but not essential.
  • Minute taking experience required.
  • Fluency in written and spoken English.
  • Excellent written and oral communication skills.
  • Ability to cope with a busy workload and to agree and meet deadlines.
  • Meticulous attention to detail.
  • Ability to use good judgment to make sound decisions.
  • Planning and organisational skills.
  • Ability to work effectively as part of a team while also comfortable working on own initiative.
  • Ability to train team members and new joiners.
